1 MISSION OF THE DEPARTMENT

The Governance team maintains the foundation for an informed, engaged, inspired, and sound WWF Network. The team provides platforms for effective internal collaboration, facilitates decision-making on agendas of strategic global relevance, serves and defends WWF’s governance structures, and holds core data and knowledge related to WWF’s historical and current operations.

2 MAJOR FUNCTIONS

The Manager of Governance Integrity works to enhance and strengthen WWF’s governance at the global, regional, and national levels. He/She/They track and ensure WWF's presence worldwide comply with organizational policies, precedents, and local legal requirements. He/She/They also maintain and protect critical information that underpins the governance of the WWF Network, using that information to help senior leaders make strategic decisions.

3 MAJOR DUTIES AND RESPONSIBILITIES

Network Development and Support
  • Identify issues and opportunities in Network governance, develop recommendations for the Sr. Director, Governance & Network Engagement, and the Director General
  • Lead management processes, including due diligence, to ensure governance integrity.
  • Support offices through changes in their legal agreements and act as Secretary for the WWF International Board Network Development Committee
  • In collaboration with the Senior Director and General Counsel, oversee the development, maintenance, and harmonization of institutional arrangements within the Network. This includes organizing and managing the signing, monitoring, and renewal of Network Office (NO), Associate, and Office agreements, as well as documents to ensure compliance with local legal requirements.
  • Conceive and develop Network processes for assurance and compliance with key governance policies with the Sr. Director, Governance & Network Engagement, and various teams in the Operations department

Governance Policy and Compliance
  • Develop and maintain guidance for WWF-International staff on WWF Boards and on external boards where WWF has an institutional seat
  • Works with the General Counsel to deliver indemnity letters and other support for WWF staff serving on boards in an institutional capacity
  • Launches processes to replace WWF staff in institutional seats whenever needed
  • Identifies potential solutions and presents recommendations to ensure WWF’s broad compliance with Network governance structures, expectations, and policies
  • Develop, maintain, and identify opportunities for improvement around key governing documents, such as SODA I and II, Legal Presences Policy, and the Green Book

Data Governance
  • Maintain and leverage the registry of Network presences, their charity structure/status, and steward other office-related “Master Data” for WWF International and the Network
  • Identify opportunities to use the Office Governance App, including through global annual reporting, to facilitate transparency and collaboration across the Network and to support strategic decision-making by the top governance bodies
  • Maintain oversight of the status of all WWF network office agreements and lead renewal processes through the database and dashboards
  • Maintain oversight of the terms, changes, and other information related to WWF staff on boards in Network and other relevant external governance bodies through the database and dashboards
  • Collects and consolidates relevant information on requests for senior leaders, including the Executive Team, International Board, and Network Executive Team
  • Works closely with office leaders, GTDS partners, and other stakeholders to ensure data governance policies are effectively implemented and the Office Governance App is accurate, complete, and effective, and to address any issues or non-compliance.

4 PROFILE

Required Qualifications.
  • Bachelor’s degree in a legal or governance-related field required, advanced education preferred;
  • 7-10 years work experience
  • Demonstrated experience in relationship management with senior executives;
  • Extensive knowledge of WWF and all aspects of its operations;
  • Experience with data stewardship and governance processes is required

  • Experience with data management and related programs (e.g. Project, Fabric, PowerBI)

  • Excellent command of English; other languages an advantage

5 WORKING RELATIONSHIPS

Internal.
Direct relationship and regular connections with the General Counsel. Interacts regularly with other leaders within the Operations Division; the WWF President; the Director General; members of WWF International’s Executive Team and Senior Leadership Team; members of the Network Executive Team and Assembly; and with legal and operations colleagues within WWF-International and across the network.

External.
Interacts with other organizations and partners as required.
