Company Secretary

Role Overview
We are looking for a qualified Company Secretary to manage secretarial compliance for the VNV group. The ideal candidate will be a CS (Company Secretary) with 3 to 5 years of post-qualification experience. As VNV operates across various geographies, you should have knowledge of cross-border compliance requirements and compliance for international joint ventures. This role is critical to ensuring organizational governance and regulatory adherence across all VNV entities.
Key Responsibilities:
1. Secretarial Compliance & Governance
- Act as Company Secretary for VNV Group companies.
- Ensure compliance with all legal and statutory provisions of the Companies Act and secretarial requirements across all the group companies incorporated in India and overseas.
- Ensure compliance of all VNV Group companies, including joint ventures, with respect to secretarial functions.
- Keep records of all secretarial documents for VNV Group companies.
2. Board & Meeting Management
- Conduct Board meetings and record Board meeting minutes for VNV Group Companies.
- Organize and manage Annual General Meetings (AGM)
- File all required documents and annual returns with regulatory authorities
4. Regulatory & Statutory Filings
- Compliance with provision of RBI/FEMA and DIPP as applicable
- Keep a close watch on all secretarial and legislative changes and keep the company updated
- Ensure timely and accurate regulatory submissions
- Assist in Statutory audit by timely submission of documents and supporting documents.
5. Policy & Knowledge Management
- Preparation of presentations on various sections of the Companies Act, 2013
- Act as Company Secretary and Key Managerial Personnel (KMP)
- Support organizational governance through proactive compliance monitoring
- Update the management with periodical compliance reporting.
- Update the management regarding any changes in Applicable company law, FEMA and other regulations and its impact on the VNV Group companies’ documentation and compliance requirements.
Qualifications & Requirements
- Qualified Company Secretary (CS) with 5 to 8 years of post-qualification experience
- In-depth knowledge of Indian Companies Act and cross-border compliance requirements
- SEBI Compliance and Listed entity working knowledge will be added advantage
- Highly detail-oriented and organized with strong numerical skills
- Excellent written and oral communication skills
- Demonstrated passion for working in the field of climate change and sustainability
- Willingness to work in a startup environment and contribute to building organizational processes
- Based in Bangalore, India
