Corporate Counsel- A Leading Energy Developer

A leading energy developer is seeking a practical, business-minded Corporate Counsel to draft, review, and negotiate a broad range of commercial agreements while providing strategic legal guidance across the organization.

This role offers significant growth potential as a key legal leader supporting corporate strategy, site control, regulated offtake structures, project finance transactions, regulatory matters, and other initiatives essential to operating a solar and energy storage development and owner-operator platform.

The ideal candidate is entrepreneurial, highly organized, and thrives in a fast-paced environment. This individual enjoys building scalable systems from the ground up while remaining detail-oriented and execution-focused within a lean team.

Key Responsibilities:

Commercial Contracts & Transactions

  • Lead drafting, review, and negotiation of commercial agreements, including EPC contracts, O&M agreements, financing documents, site control agreements, NDAs, and other contracts supporting the full lifecycle of solar and storage projects.
  • Partner with business teams to structure and execute complex transactions efficiently.

Project Development Support

  • Provide legal guidance across the origination and development lifecycle of renewable energy and battery storage projects, including permitting, interconnection, stakeholder coordination, and operational readiness.

Regulatory & Policy Advisory

  • Work alongside policy leadership to assess legal and regulatory frameworks impacting project development and operations.
  • Analyze administrative pathways and regulatory risks, and support strategic engagement where system improvements or interventions are warranted.

Transaction & Deal Execution

  • Advise business unit leaders on development, acquisition, divestiture, and ownership matters, including membership interest purchase agreements, asset transfers, and financing structures.
  • Support corporate structuring to optimize deal performance and execution.

Qualifications & Experience:

  • 4+ years of experience in corporate, real estate, renewable energy, or commercial transactional law. Experience in large-scale distributed generation (DG) is strongly preferred.
  • Demonstrated ability to analyze complex legal issues and develop practical, business-oriented solutions.
  • Excellent drafting, negotiation, and communication skills.
  • Strong analytical capabilities and attention to detail, with the ability to identify critical deal points under tight timelines.
  • Self-directed with the ability to manage competing priorities in a dynamic environment.
  • Juris Doctor (J.D.) from an accredited law school.
  • Active and in good standing with the applicable State Bar.
  • Boulder-based or willing to relocate preferred; remote candidates will be considered.
