Role Description We are looking for a highly analytical and commercially oriented Senior Manager/ AGM – Corporate Finance & Project Finance to support the organization's growth initiatives across fundraising, new business evaluation, financial modelling, investment analysis and project financing.

The role will work closely with Senior Management, Business Development, Project Finance, lenders, investors and other internal stakeholders to evaluate business opportunities, develop robust financial models, prepare investment materials and support the company in raising equity, mezzanine and project finance debt.

The ideal candidate should have strong expertise in financial modelling, corporate finance, investment analysis, project finance and business evaluation, with the ability to translate complex financial information into clear recommendations for senior management and investment committees.

Key Responsibilities1. Equity & Mezzanine Fundraising
  • Support Senior Management in raising equity and mezzanine capital from domestic and global investors.
  • Assist in identifying, evaluating and engaging with potential investors and financing partners.
  • Develop and maintain detailed financial models to support fundraising and capital structuring initiatives.
  • Act as the custodian of key financial models, ensuring accuracy, consistency, integrity and appropriate version control.
  • Periodically update financial models based on actual business performance, revised business assumptions, project pipeline and management inputs.
  • Conduct sensitivity, scenario and return analysis to assess the impact of key business and financial assumptions.
  • Support evaluation of alternative capital structures, including equity, mezzanine and other structured financing options.
  • Prepare detailed Investment Memorandums (IMs) covering:
  • Business overview
  • Investment rationale
  • Financial performance
  • Project/business opportunity
  • Financial projections
  • Key assumptions
  • Due diligence findings
  • Risk assessment
  • Proposed transaction structure
  • Sources and uses of funds
  • Investor returns and sensitivities
  • Present investment proposals and due diligence outcomes to Management, Investment Committee and shareholders to obtain the required approvals.
  • Support management during investor discussions, information requests, due diligence processes and transaction negotiations.
2. New Bids & Business Development
  • Develop and manage detailed financial models for evaluating new business opportunities and projects.
  • Evaluate commercial and financial feasibility of:
  • E-bus Government tenders
  • E-bus private contracts
  • E-truck private contracts
  • Other emerging electric mobility opportunities.
  • Analyse project economics, revenue potential, operating costs, capital expenditure, financing requirements and projected returns.
  • Evaluate key financial parameters including:
  • Project IRR
  • Equity IRR
  • Project NPV
  • EBITDA
  • Cash flows
  • Payback period
  • DSCR
  • Debt capacity
  • Sensitivity and downside scenarios
  • Work closely with the Business Development team to understand commercial proposals, contractual structures, operational assumptions and project requirements.
  • Provide financial analysis and insights during business development discussions and opportunity evaluation.
  • Participate in discussions with potential customers, partners and internal stakeholders, as required.
  • Identify key commercial, financial and operational risks associated with new opportunities.
  • Develop comprehensive business plans for shortlisted projects.
  • Prepare and present business plans and financial evaluation outcomes to Senior Management and the Investment Committee for decision-making and approvals.
  • Support the BD team in evaluating commercial terms and negotiating financially viable project structures.
3. Financial Analysis & Management Insights
  • Review business activities, financial performance and project-level economics to identify key trends and insights.
  • Analyse actual performance against budgets, forecasts and business plans.
  • Conduct financial and commercial analysis to support strategic business decisions.
  • Evaluate the financial impact of new initiatives, business strategies and proposed investments.
  • Develop management dashboards, analytical reports and financial presentations as required.
  • Identify key financial risks, opportunities and areas requiring management attention.
  • Conduct ad-hoc financial analysis and prepare management reports based on business requirements.
  • Support senior management with data-driven insights for strategic and operational decision-making.
4. Project Finance & Debt Financing Support
  • Work closely with the Project Finance team to secure debt financing for new and existing projects.
  • Support the preparation of financial models for project finance transactions.
  • Prepare and update Information Memorandums (IMs) and lender presentations.
  • Develop financial analysis and supporting documentation required for discussions and negotiations with lenders and financial institutions.
  • Assist in assessing project debt capacity, funding requirements and optimal financing structures.
  • Analyse debt servicing capability, repayment schedules, DSCR and other lender requirements.
  • Coordinate with internal stakeholders to collect financial, operational, commercial and project-related information required by lenders.
  • Support lender due diligence and respond to financial information requests.
  • Assist in evaluating and comparing financing proposals received from banks, NBFCs, funds and other financial institutions.
  • Support negotiations relating to financing terms, including interest rates, tenor, repayment structure, security requirements and financial covenants.
  • Ensure that financial models and lender information remain updated throughout the financing process.
5. Financial Modelling & Analysis
  • Build sophisticated, integrated and dynamic financial models for corporate, project and investment analysis.
  • Develop models covering:
  • Project economics
  • Revenue projections
  • Operating costs
  • Capex
  • Working capital
  • Debt financing
  • Equity requirements
  • Cash flow projections
  • Returns analysis
  • Maintain model integrity and ensure assumptions are appropriately documented.
  • Perform scenario and sensitivity analysis under different business, financing and operational assumptions.
  • Regularly update models based on actual performance and changes in business strategy.
  • Ensure models are structured in a transparent, auditable and user-friendly manner.
  • Maintain appropriate documentation and version control for critical financial models.
6. Investment Committee & Management Support
  • Prepare high-quality presentations and analytical materials for Investment Committee, Board, shareholders and Senior Management.
  • Convert complex financial and commercial analysis into clear and concise management insights.
  • Support preparation of investment proposals and approval notes.
  • Highlight key assumptions, risks, sensitivities and financial implications of proposed investments.
  • Participate in management and investment committee discussions and provide financial inputs as required.
  • Track actions and follow-ups arising from investment and financing discussions.

Candidate ProfileEducational Qualification
  • MBA / PGDM in Finance, CA, CFA or equivalent qualification preferred.
  • Bachelor's degree in Commerce, Finance, Economics, Engineering or related discipline.
Experience
  • 5–10 years of relevant experience in one or more of the following areas:

  • Experience working on fundraising, project financing, bids or large-scale investment evaluations is preferred.
Technical Skills
  • Advanced proficiency in Microsoft Excel and financial modelling.
  • Strong understanding of corporate finance and project finance principles.
  • Strong knowledge of financial statement analysis.
  • Ability to build integrated financial models from scratch.
