WHAT WE CAN ACHIEVE TOGETHER
The Senior Attorney is responsible for providing legal support for other aspects of the Conservancy’s programs and for interpreting and administering the Conservancy’s corporate policies and procedures as they apply to the Conservancy’s work. They may review organizational documents that have legal significance, offering opinions on modifications that will enhance the organization’s position legally. The Senior Attorney works as part of a team of attorneys, paralegals and support staff. This position may have supervisory responsibility for paralegals and may be asked to supervise other attorneys.
RESPONSIBILITIES AND SCOPE
- Assists in structuring activities to most effectively achieve Conservancy goals.
- Reviews organizational documents and prepares and examines documents and agreements, which may involve government grants, funding agreements, leases, licenses, purchases, sales, construction contracts, insurance, procurement of goods and services and real estate purchase/sales agreements, deeds and conservation easements. .
- Influences decision-makers in assigned programs through strong communication skills.
- Manages outside counsel effectively.
- May supervise and/or provide guidance to less experienced attorneys and/or paralegals and other support staff.
- Performs special projects as requested by department management.
- Serves as the primary legal contact for various clients.
- Travels occasionally; works long and/or flexible hours as needed.
WE'RE LOOKING FOR YOU
The Senior Attorney will provide legal services on complex matters to advance Conservancy priorities and appropriately manage risk for assigned programs and ensure that transactions and activities are legally sound and consistent with the Conservancy’s mission, authority, policies and procedures. The Senior Attorney will clearly articulate complex legal concepts and options to assigned programs. They will be responsible for providing legal advice and support regarding matters relating to all aspects of the Conservancy’s programs for assigned business units within the eastern United States. These matters include conservation real estate matters (such as licenses, leases, easements, purchases, and sales). The Senior Attorney may also provide advice on complex non-real estate conservation projects; carbon credit and climate change initiatives; contracts and grants; legal support for the Conservancy’s engagements and relationships with large corporations; advice regarding intellectual property, marketing, tax-exempt law issues and philanthropy. They will own primary responsibility for particular substantive legal areas (for example, groundwater sustainability).
- Juris Doctorate or equivalent and license to practice law in at least one U.S. jurisdiction.
- Five (5) years relevant legal experience or at least three (3) years relevant legal experience coupled with assumption of significant responsibilities for a geographic area or subject matter expertise.
- Experience negotiating complex transactions and agreements.
- Experience advising clients on evaluating and managing risk.
- Experience in transactional law (real estate and/or water), including drafting, negotiating and reviewing documents and agreements in a manner that manages legal risk and facilitates legal compliance.
- Experience in real estate law and legal issues relating to land management, including acquisitions, title review, leases, conservation easements, encroachments, restoration, and coordination with public agencies.
- Experience in tax-exempt law, intellectual property, and negotiating contracts with large corporations.
- Experience in additional areas of practice, such as water law, nonprofit law (including philanthropy, marketing and tax/private benefit issues), and government grants.
- In-house experience and/or law firm experience advising sophisticated clients and senior management.
- Experience training business staff on legal issues and training other legal staff in areas of expertise.
- Ability to cultivate the creative ideas of others to identify potential solutions to complex and less-defined problems.
- Ability to identify process improvements in order to more efficiently manage legal risk for an organization.
- Experience developing, directing and managing multiple projects and implementing strategic program goals.
- Experience supervising staff such as other attorneys, paralegals and administrative staff.
- Legal research and writing experience.
- Working knowledge of current trends in relevant discipline.
- Multi-lingual skills and multi-cultural experience appreciated.
