We often talk about the dual crises of the climate emergency and the biodiversity crisis but there is a third crisis - the debt crisis. Too often, those on the front lines of dealing with the adverse effects of a warming planet and nature loss must grapple with the vicious cycle of debt and rebuilding. But there is a powerful solution to help bridge that funding gap and help nations achieve their climate and nature goals: Nature Bonds projects. Piloted in Seychelles in 2016, our approach—initially dubbed Blue Bonds for Ocean Conservation —that combines debt refinancing with technical assistance has proven highly effective. Recently expanded to include terrestrial and freshwater outcomes, what we now call our Nature Bonds Program has six projects in implementation, including the Seychelles project and marine-focused projects in Belize (2021) , Barbados (2022) , Gabon (2023) , The Bahamas (2024) , and the program's first ever project focused on terrestrial and freshwater conservation in Ecuador (2024) . Together, the six projects are expected to generate approximately USD $1 billion in conservation funding and support governments to reach new protection commitments or improved management of approximately 242 million hectares of ocean, land, lakes and wetlands and 18,000 km of rivers.

The Compliance & Investor Relations Manager, Sustainable Debt will play a crucial role in supporting the long-term success of the Nature Bonds portfolio of projects in implementation by helping ensure that financial and legal compliance obligations are being met. They will be responsible for developing a comprehensive understanding of the financial models and legal agreements that underpin Nature Bonds projects. They will then use their technical expertise to support the implementation of projects in alignment with transaction structures. The Manager will participate in project teams and work in close collaboration with TNC’s NatureVest, Global Protect, Central Finance, Legal, Regional, and Country Teams, financial institutions, credit enhancement providers, partner governments, and conservation trust funds to track and mitigate risks, troubleshoot and escalate emerging issues, and provide technical assistance to ensure that project activities are implemented in adherence with transaction structures and contractual requirements.

Additionally, the Manager will support the development, documentation, and ongoing management of processes related to compliance, risk management, reporting, and approvals. They will be responsible for the management, maintenance and reporting of financial data, and the obligations of TNC and counterparties to ensure compliance with Nature Bonds transaction agreements, TNC policies and procedures, relevant legal and regulatory frameworks, and financial/management best practice. The Manager will lead and/or contribute to the development of reports for internal and external audiences and support corporate governance of all Sustainable Debt related entities and asset management of financial instruments and obligations. They will also support the development and delivery of tools and trainings for project teams, conservation trust funds, and partner governments to build capacity around transaction implementation.

The Compliance & Investor Relations Manager will be a member of NatureVest’s Sustainable Debt team and report to the Compliance & Investor Relations Director, Sustainable Debt. The position’s location is flexible within countries where The Nature Conservancy is a registered NGO and has an established office, with a preference for candidates that can work within ±6 hours of Eastern Standard Time (EST)/ Eastern Daylight Time (EDT). Domestic and international travel may be required up to 25% of the time.

We’re Looking for You:

We are looking for a motivated, entrepreneurial business professional with a background in management consulting or finance coupled with a commitment to addressing the climate and biodiversity crises. They will be required to navigate complex political dynamics, demonstrate diplomacy, and work effectively within matrixed teams, with external partners, and with individuals from diverse backgrounds and cultures.

RESPONSIBILITIES & SCOPE

  • Tracks and reports on financial and legal requirements for a portfolio of debt conversion projects to ensure compliance, in close coordination with different workstreams and teams.

  • Manages, organizes, and analyzes data.

  • Produces tools and deliverables related to financial and legal compliance, investor relations, and project reporting for internal and external audiences.

  • May participate in strategy and negotiations for complex, high profile or sensitive agreements.

  • Reports to the Director of Investor Relations & Compliance, Sustainable Debt, and works in close collaboration with CTF specialists, Central Finance, legal and regional staff.

  • Will require domestic and international travel (up to 25%) and flexibility to work outside normal business hours, as needed.

What You’ll Bring:

  • Bachelor's Degree in Finance, Accounting, Business Administration or related field and 4 years in a private sector environment, such as management consulting and investment banking, or with a leading conservation organization or government entity, or equivalent combination of education and experience.

  • Experience monitoring for and ensuring compliance with financing agreements, organizational policies, applicable law and regulation, and finance/accounting/management best practice.

  • Experience managing a portfolio of projects and workstreams, including working with both internal and external stakeholders.

  • Superior written and oral communications. Ability to analyze and effectively communicate complex financial data and concepts to non-specialist audiences in various presentation and reporting formats.

  • Ability to resolve complex issues independently within program area.

  • Fluency in English.

Desired Qualifications:

  • Multi-lingual skills and/or multi-cultural experience appreciated.

  • Strong team player who can build relationships and work collaboratively across the organization and with Conservancy partners.

  • Experience evaluating the adequacy and effectiveness of management controls; interpreting guidelines and analyzing factual information to adapt or modify processes as needed.

  • Experience acting as a resource to others to solve problems.

  • Experience reviewing and interpreting legal agreements and working with a legal team.

  • International work experience desirable.

Salary Information:

This position may be based in any country where TNC has an established entity, taking into consideration legal restrictions, such as non-national ratios and immigration processing times. For U.S. based applicants only, the starting pay range for this position is generally within the range of $95,000- $110.000 for annual base salary and is based on location, qualifications, specific skills, and experience. This range only applies to candidates whose country of employment is the USA. For all other applicants, pay ranges will be in local currency, the pay range will be based on the local labor market, and not tied to the above pay range. Your geographic location will be confirmed during the recruitment and used to determine your actual pay range. Additionally, for all applicants, actual pay will fall within a range based on a variety of factors including, for example, the candidate’s qualifications, specific skills, and experience.
