We are currently seeking an exceptional General Counsel to serve as the organization’s senior legal advisor and first in-house legal hire. This is a rare opportunity to build and lead the legal function for a company driving the transition to clean energy across North America.

About the Role

As General Counsel, you will partner directly with the CEO and executive leadership team to guide legal strategy across project development, operations, finance, and corporate governance. You’ll operate in a dynamic, high‑growth environment where your judgment, independence, and ability to balance legal risk with business objectives will be essential.

This is a hands‑on role with significant strategic impact - ideal for a seasoned attorney who thrives in fast-moving, entrepreneurial settings.

What You’ll Lead:

Commercial & Corporate Contracting

  • Draft, negotiate, and manage a wide variety of commercial agreements, including:
  • Asset/Membership Interest Purchase Agreements
  • EPC, O&M, utility, and interconnection contracts
  • Vendor, supplier, and customer/subscription agreements
  • Build scalable contract standards, templates, and approval processes.
  • Oversee legal risk, claims, disputes, and coordination with insurers and outside counsel.

Project Development & Real Estate

  • Lead legal aspects of project development across the full lifecycle.
  • Manage site control agreements, purchase/sale agreements, title/survey matters, and closings.
  • Support corporate and project-level financing activities and lender diligence.
  • Identify and mitigate risks related to distributed generation and community solar projects.

Corporate Governance & Compliance

  • Support board and committee governance, corporate policy development, and entity management.
  • Serve as corporate secretary for board meetings.
  • Advise on M&A, joint ventures, strategic partnerships, and corporate actions.

Cross-Functional Legal Leadership

  • Provide practical, business-first legal guidance to development, operations, customer teams, finance, and HR.
  • Translate complex legal concepts into clear, actionable guidance for internal stakeholders.

Outside Counsel & Cost Management

  • Manage and optimize external counsel relationships across multiple specialties.
  • Drive cost efficiency while maintaining high-quality legal support.

Innovation & AI Enablement

  • Champion the use of AI and legal technology to improve:
  • Contract review
  • Risk identification
  • Workflow efficiency
  • Knowledge management
  • Collaborate with internal teams on responsible AI governance, data privacy, and cybersecurity.

What You Bring:

Required

  • JD from an accredited law school and active license in at least one U.S. jurisdiction.
  • 10–15 years of legal experience with strengths in:
  • Real estate and project development transactions
  • Complex commercial contracting
  • Outside counsel management
  • Corporate governance and board-level matters
  • Ability to operate independently in a lean, scaling organization.
  • Excellent business judgment and a pragmatic, solutions‑oriented approach.

Preferred

  • Renewable energy, community solar, infrastructure, or power markets background.
  • Experience in project-driven sectors such as utilities or oil & gas.
  • Comfort supporting distributed or remote teams.
  • Exposure to multi-jurisdictional work across the U.S.
