As an In-House Counsel, you will play a critical role in enabling complex transactions, cross-functional collaboration, and regulatory compliance for an organization dedicated to clean energy and client success.

Responsibilities:

  • Draft, review, and negotiate power purchase agreements (PPAs), tolling agreements, and related commercial contracts for renewable energy transactions.
  • Advise on PPA structures for data center and high-load commercial clients, addressing provisions for load flexibility, curtailment, reliability, and sustainability commitments.
  • Support commercial teams with deal structuring and risk identification throughout the contract lifecycle.
  • Provide legal support across all phases of generation project development, including reviewing and negotiating EPC, O&M, and interconnection agreements.
  • Assist with permitting, land rights, transmission service agreements, and grid access documentation relevant to energy projects.
  • Monitor and advise on compliance with FERC, state utility commission, and RTO/ISO regulations impacting commercial and development activities.
  • Collaborate with external counsel on complex matters and manage outside counsel relationships.
  • Develop and maintain contract templates, legal playbooks, and internal legal policies.

Must-Have Skills:

  • J.D. from an accredited law school and active bar admission in good standing (any U.S. jurisdiction).
  • 5–8 years of transactional legal experience, with expertise in energy contracts, project development, or infrastructure law.
  • Demonstrated ability to draft and negotiate PPAs, EPC contracts, O&M agreements, and/or interconnection agreements.
  • Exceptional analytical and legal drafting skills with a clear, concise approach to risk assessment and communication.
  • Proven success managing multiple priorities independently in a fast-paced, entrepreneurial environment.

Nice-to-Have Skills:

  • Experience advising on power supply agreements involving data centers or large commercial/industrial customers.
  • Familiarity with FERC-jurisdictional markets, NERC standards, and wholesale energy market rules.
  • Background in renewable energy project development, including solar, wind, or storage initiatives.
  • Understanding of WSPP and EEI form Master Agreements.
