Job Summary:

We are seeking a detail-oriented and experienced Stock Administrator to manage the day-to-day operations of our equity compensation programs. This role will be responsible for administering stock options, restricted stock units (RSUs), employee stock purchase plans (ESPP), and other equity-related matters for a publicly traded company. The ideal candidate has strong knowledge of equity administration systems (e.g., Fidelity, Carta), public company reporting requirements, and SEC compliance.

Key Responsibilities:

  • Administer and maintain the company's equity programs including stock options, RSUs, and PSO's.
  • Process new grants, exercises, terminations, and releases in the equity system of record.
  • Maintain accurate records of equity transactions and employee accounts.
  • Work closely with payroll, finance, legal, and HR to ensure accurate tax withholdings and reporting.
  • Prepare and review reports related to equity compensation for internal and external stakeholders.
  • Support quarterly and annual financial audits and SEC filings (e.g., Form 4, 10-K, 10-Q, and proxy statements).
  • Ensure compliance with Section 16, Rule 144, SOX, and other SEC and tax regulations.
  • Manage the insider trading policy and 10b5-1 trading plans.
  • Provide education and support to employees regarding their equity compensation.
  • Partner with Finance for stock-based compensation expense reporting (ASC 718).

Qualifications:

  • Bachelor's degree in finance, accounting, or related field.
  • 10+ years of experience in stock administration at a public company.
  • Certified Equity Professional (CEP) designation preferred or in progress.
  • Proficient in equity administration platforms (e.g., Carta, Fidelity).
  • Strong knowledge of U.S. securities laws, tax rules, and equity compensation accounting.
  • Exceptional attention to detail, analytical thinking, and communication skills.
  • Ability to manage confidential information with discretion.
  • Ability to work with shareholder proxy solicitors to ensure equity is commensurate with company requirements.

Preferred Skills:

  • Experience with SOX compliance and audit support.
  • Familiarity with international equity programs.
  • Knowledge of financial reporting systems (e.g., Netsuite).
  • Knowledge of HR systems like Insperity.
  • Experience supporting an IPO or secondary offering (if applicable).
