Assistant General Counsel

Hanwha Q CELLS America is looking for an Assistant General Counsel. You will join a collegial team of 10 legal professionals and report to the General Counsel. You will be given responsibilities primarily in financing transactions for residential solar sales and financing products, including asset-backed securities, debt, tax equity, sale-leaseback and warehouse lending facilities. Our legal team is expected to grow rapidly over the next few years and there will be exciting opportunities for career growth. Hanwha Q CELLS America, headquartered in Irvine, California, has been rapidly expanding its business in North America through the expansion of products and solutions, including distributed energy solutions, direct-to-homeowner solar sales and financing, and EPC services. This position will be based out of our Irvine office, with an in-office schedule that is set at the direct manager’s discretion in accordance with the company policies and procedures. Remote options could be considered for exceptional cases.

Responsibilities

  • Support the residential solar financing, third-party ownership (TPO) and distributed energy teams with asset backed securities, tax equity transactions, warehousing lending facilities and other project financing-related transactions, including drafting and negotiating all transaction documents for the Company’s direct-to-homeowner business.
  • Collaborate with cross-functional teams to provide strategic business-oriented legal advice.
  • Negotiate, draft and review various commercial agreements with customers, suppliers, partners and other third-party agreements on an as needed basis.
  • Supervise and manage outside counsel in various matters on an as-needed basis.
  • Create legal and commercial forms and processes and educate the business on important legal and commercial matters.

Required Qualifications

  • 10+ years experience
  • Top law firm training preferred
  • In-house experience, preferably with a broad range of responsibilities
  • Strong background in financing transactions, commercial contracts and corporate and strategic transactions
  • Experience working for a direct-to-homeowner solar financing, distributed energy and/or TPO business at a clean energy or global technology company
  • JD from a top law school preferred
  • Membership in at least one state bar
The salary range is required by the California Pay Transparency Act and may differ depending on the location of those candidates hired nationwide. Actual compensation is influenced by a wide array of factors including but not limited to, skill set, education, licenses and certifications, essential job duties & requirements, and the necessary experience relative to the job’s minimum qualifications.
