We are looking for a Senior Corporate Paralegal. The role will be to assist our Corporate and legal operations legal teams in managing all aspects of our corporate business globally. This will include managing global subsidiaries, ensuring securities law compliance, supporting M&A and other strategic transactions, and ensuring compliance with corporate governance policies as well as local, state and federal regulatory filings (e.g. annual reports and business licenses). You will work as part of the corporate legal team, and will work with many other attorneys and program managers across the legal department as well as many cross-functional teams across Lime. You will also work directly with outside legal counsel and other advisors.

What You'll Do

    • Strategic Transactions
    • Support equity and debt offerings, M&A, and other strategic transactions, including due diligence, KYC, document preparation, closing mechanics, and post-closing integration and administration
    • Handle post-acquisition work (including officer and director changes, signatory resolutions, state qualifications and withdrawals work with Tax department)
    • Support global corporate restructuring projects
    • Maintain corporate and transactions records
    • Support execution and closing of various transactions
    • Assist with other administrative tasks as may be required

    • Corporate and Securities
    • Work with internal and external counsel to ensure timely satisfaction of public company filing and disclosure requirements and US securities laws compliance, including: Section 16 reporting, proxy statements, registration statements, Forms 8-K, 10-Q, and 10-K
    • Maintain corporate structure and subsidiaries including scheduling board meetings and drafting various corporate documents, including unanimous written consents, resolutions, secretary certificates, and powers of attorney
    • Maintain board/stockholder and committee minute books
    • Assist with other administrative tasks as may be required

About You

    • Associate's degree and/or US paralegal certificate is required
    • Bachelor’s degree is preferred
    • At least five years of paralegal or similar experience, preferably with both a top-tier law firm and an in-house legal department, including significant experience in managing corporate matters
    • Excellent analytical skills, with a strong ability to draft and review legal documents, analyze legal advice and apply legal advice to business needs
    • Hard working, well-organized and detail-oriented
    • Must be able to manage numerous projects simultaneously under deadline pressure
    • Flexibility and willingness to work on a broad variety of legal matters
    • Ability and willingness to take initiative to address problems and make continuous process improvements
    • Excellent interpersonal skills, dynamic and highly team-oriented
    • Ability to perform work under minimal supervision
