Legacy Executive Search is working with a renewable energy company looking to hire a Project Finance Counsel to report directly to the company’s General Counsel and to serve as the point person for the organization’s finance department. The Project Finance Counsel will support various legal needs of the organization, and will collaborate with, and have exposure to, all elements of the company’s operations.
The Project Finance Counsel will work independently and autonomously to support the finance team with managing its portfolio of loans, reviewing finance agreements, and reviewing tax equity agreements. The Project Finance Counsel will also assist with legal diligence for the lending side of the company’s operations.
The essential duties and responsibilities of the Project Finance Counsel include:
~ Leading legal support for Project Finance: Serve as the primary internal legal advisor on all aspects of project financing, including debt, tax equity, and construction financing for community solar projects.
~ Working closely with the project finance team and external counsel, support complex financings, including debt and equity investments in community solar projects.
~ Drafting and negotiating credit agreements, equity arrangements, and related project documentation. Serving as primary day to day legal contact for compliance with loan and tax equity covenants and support required notices and consents.
~ Collaborating with a cross-functional legal team on transactions from inception to closing.
~ Conducting legal due diligence and provide strategic guidance on risk mitigation.
At a minimum, the Project Finance Counsel must have all of the following qualifications:
Three to Five (3-5) years minimum legal experience performing transactional legal work, ideally having exposure to or experience with most of the types of work noted in the “Essential Duties and Responsibilities” section, above;
~ Experience in a corporate legal environment is preferred, but not required;
~ Excellent communication skills in both oral and written English, including strong contract-drafting skills; Proficiency in Word, Adobe, and PowerPoint.
The team works onsite Mondays-Thursdays and remotely on Fridays. Occasional travel may be required.
