Project Finance Associate - Renewable Energy
About the Opportunity
Our client, a band 1 ranked firm in energy, is seeking a Mid-Level Project Finance Associate (3-5 year JD) and a Senior Project Finance Associate (6 years +) to join a nationally recognized renewable energy project finance practice. This role offers the opportunity to lead sophisticated debt and tax equity financings that are central to the U.S. energy transition, with meaningful responsibility and direct client engagement.
The firm will consider lawyers based in Seattle, Minneapolis, Portland, Sacramento, San Diego, and San Francisco .

Our client is a leading U.S. law firm with a nationally ranked project finance platform, particularly in the renewable energy and energy transition space. The team advises sponsors, developers, investors, and lenders on complex project financings and transactions across a broad range of infrastructure assets. The practice is known for its deep understanding of the full project lifecycle, including corporate structuring, site control, EPC and supply contracts, offtake arrangements, regulatory compliance, and innovative financing structures. The Role
This position sits within the firm’s Corporate practice group and focuses on renewable energy and energy transition assets, including solar, wind, energy storage, and related infrastructure. The associate will play a lead role on transactions, working closely with clients, counterparties, and internal specialists from structuring through closing.
Responsibilities
- Structure, negotiate, and close construction and term debt facilities and tax credit monetization transactions, including tax equity partnerships, tax credit transfers, and hybrid structures.
- Draft and negotiate key deal documentation, including financing agreements, security documents, guarantees, depository agreements, intercreditor agreements, tax equity partnership agreements, tax credit purchase agreements, and membership interest purchase agreements.
- Manage transaction due diligence and coordinate cross‑functional teams across tax, regulatory, and real estate disciplines.
- Serve as a primary point of contact for clients and counterparties throughout the transaction process.
- Lead financings, acquisitions, and joint ventures involving individual projects and multi‑asset platforms.
Qualifications
- JD and active bar membership in good standing, with ability to obtain admission where required.
- Minimum 3 years’ experience in debt and tax equity project finance and M&A at a reputable law firm or from an inhouse environment, with substantial renewable energy experience.
- Demonstrated ability to run transactions independently, manage timelines, and drive deals to closing.
- Strong command of tax equity structures and partnership tax concepts, with familiarity with prevailing market terms.
- Excellent drafting, negotiation, communication, and project management skills.
- Team‑oriented, client‑focused approach with a high degree of professionalism.
