Senior Legal Counsel
Summary
Our client is seeking an experienced and highly motivated attorney to join a dynamic, fast-paced legal team. This role reports to the Head of Legal, North America and is responsible for providing comprehensive legal guidance to business units and senior leadership across a wide range of matters.
The position will serve as the primary legal contact for significant legal issues, including complex regulatory matters, contract negotiations, and day-to-day legal support for Air & Sea and Contract Logistics operations in the U.S. and Canada.
This role is fully on-site in Grapevine, Texas. Remote or hybrid work is not available.
Key Responsibilities
Draft, review, and negotiate a wide range of legal documents, including:
- Customer and vendor agreements related to air and ocean transportation
- NVOCC agreements, warehousing, 3PL/4PL services
- Ocean service contracts, truck brokerage, and road transportation agreements
- Real estate documents such as lease agreements
- Equipment financing agreements
Manage all aspects of litigation and pre-litigation matters in an efficient and cost-effective manner
Advise executive leadership on legal risks and compliance to support sound business decision-making
Ensure adherence to internal policies and provide compliance training to stakeholders
Support corporate governance activities, including:
- Entity management and formation
- Drafting resolutions and consents
- Coordinating shareholder meetings
Partner with Human Resources on labor and employment matters, including policy implementation and training
Collaborate with cross-functional teams and global stakeholders
Monitor legal and regulatory developments and advise on potential business impact
Provide strategic legal guidance on industry trends and emerging risks
Perform other duties as assigned
Education & Experience
- Juris Doctor (JD) from an accredited law school
- Licensed attorney in good standing (or compliant with in-house counsel registration requirements)
- Minimum 8 years of legal experience, including:
- At least 5 years as in-house counsel
- At least 5 years in the logistics or transportation industry (air, ocean, warehousing)
Required Skills & Qualifications
- Strong experience drafting and negotiating complex commercial contracts in logistics, transportation, or procurement
- Knowledge of industry-related regulatory frameworks
- Proven ability to manage high-volume workloads, prioritize effectively, and meet deadlines
- Experience developing and maintaining contract templates and negotiation strategies
- Excellent communication skills with the ability to translate complex legal concepts into practical business advice
- Strong analytical, negotiation, and decision‐making abilities
- Ability to work independently and collaboratively in a global team environment
- Creative problem‐solving skills and sound judgment
- Proactive mindset with a focus on continuous improvement
- High level of attention to detail and commitment to quality
- Strong interpersonal skills and ability to work across diverse stakeholder groups
Preferred Qualifications
Experience with:
- U.S. Federal Maritime Commission (FMC) regulations and compliance
- Global trade compliance (export controls, sanctions, customs, licensing)
- Anti‐bribery and anti‐corruption laws (FCPA, UK Bribery Act)
- Data privacy regulations (GDPR, CCPA)
Leadership or management experience within a legal department or law firm
