Senior Legal Counsel
A rapidly growing private equity-backed energy company, is looking for a Senior Legal Counsel to join its in-house team and support a diverse portfolio of power generation projects, including natural gas, battery storage, and solar. The ideal candidate will provide hands-on legal support for corporate and project-related initiatives, ensuring seamless execution of acquisitions, development efforts, construction projects, and operational activities.
Located in Chicago, IL, this hybrid role involves 4 days on-site, frequent collaboration with cross-functional teams, and travel as needed to generation assets and external stakeholders.
Responsibilities:
- Negotiate and draft complex commercial agreements, including PPAs, hedging instruments, EPC, LTSA, and O&M contracts.
- Support M&A and project finance transactions through due diligence and closing documentation.
- Advise on regulatory compliance under FERC, ISO/RTO tariffs, and NERC standards, including CIP requirements.
- Provide guidance on environmental permitting and emissions reporting.
- Manage project development legal aspects, including interconnection, site control, and real estate agreements.
- Assist with corporate governance, credit frameworks, and insurance programs.
Qualifications:
- Juris Doctor from an accredited law school and active Illinois bar admission (or ability to obtain promptly).
- Minimum 5 years of legal practice with exposure to energy, infrastructure, or complex transactions.
- Strong contract drafting and negotiation capabilities, coupled with organizational excellence.
- Comfortable working cross-functionally under tight timelines.
