Position Overview

The Assistant General Counsel will provide strategic legal counsel and operational support to the organization's executive leadership and business units, with a primary focus on healthcare regulatory matters and compliance. This role advises on regulatory interpretation, risk mitigation, transactional support, contract review, investigations, and litigation management to ensure lawful operations and promote sound corporate governance.

Key Responsibilities

  • Provide timely, practical legal advice to executives, business leaders, and clinical teams on healthcare regulatory matters, compliance, and risk management.
  • Oversee and advise on compliance programs related to HIPAA, Medicare/Medicaid, Stark Law, AntiKickback Statute, state healthcare laws, and other applicable federal and state regulations.
  • Draft, review, and negotiate a wide variety of agreements, including provider contracts, vendor agreements, joint ventures, and business associate agreements.
  • Manage regulatory responses and interactions with government agencies, including investigations, audits, subpoenas, and enforcement actions.
  • Coordinate and manage outside counsel for litigation, regulatory matters, and specialized transactions; control legal spend and monitor performance.
  • Lead internal investigations into alleged compliance violations, employment issues, and patient privacy incidents; recommend remedial actions and implement corrective plans.
  • Develop and deliver compliance training and legal guidance to employees and leadership to foster a culture of compliance and reduce legal risk.
  • Collaborate with corporate governance, risk, and compliance functions to update policies and procedures, and to implement controls and monitoring mechanisms.
  • Support mergers, acquisitions, joint ventures, and other strategic transactions by performing legal due diligence and drafting transaction documents.
  • Monitor legislative and regulatory developments in healthcare and advise leadership on potential impacts and necessary operational changes.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school and active admission to practice in at least one U.S. state bar (ability to become licensed in the applicable state preferred).
  • Minimum 6+ years of legal experience, with significant experience as inhouse counsel or as external counsel serving healthcare clients; prior experience in a healthcare system, hospital, or health plan strongly preferred.
  • Demonstrated expertise in healthcare regulatory law and compliance, including HIPAA, Medicare/Medicaid program rules, Stark Law, AntiKickback Statute, state healthcare regulations, and accreditation requirements.
  • Proven experience counseling senior leadership and boards of directors on legal and regulatory risk and implementing compliance programs.
  • Experience managing litigation and regulatory enforcement matters and directing outside counsel.
  • Strong drafting, negotiation, and document management skills for contracts and regulatory filings.
  • Excellent interpersonal, communication, and advisory skills with the ability to distill complex legal issues into practical business guidance.
  • High ethical standards, sound judgment, ability to handle confidential information, and capability to work effectively in a fastpaced, crossfunctional environment.
