Position Overview
Guzman Energy is seeking a skilled and motivated In-House Attorney to join our legal team on a term-limited, full-time basis through December 31, 2026, with the potential for conversion to a permanent role. This position sits at the intersection of energy transactions and infrastructure development, supporting the company's growing portfolio of power supply agreements and generation project development activities. The ideal candidate brings mid-level transactional experience in the energy sector and is comfortable operating in a fast-paced, entrepreneurial environment. This role reports to the VP of Legal.
Key Responsibilities
Power Purchase Agreements & Commercial Contracts
- Draft, review, and negotiate power purchase agreements (PPAs), tolling agreements, and related commercial contracts across Guzman's wholesale power business
- Advise on PPA structures tailored to data center and high-load commercial customers, including provisions addressing load flexibility, curtailment, reliability, and sustainability commitments
- Support the commercial team in deal structuring and risk identification throughout the contracting lifecycle
Generation Project Development
- Provide legal support across all phases of generation project development, including EPC (Engineering, Procurement & Construction) contracts, O&M agreements, and related development documents
- Review and negotiate interconnection agreements, transmission service agreements, and related grid access documents with ISOs, RTOs, and utilities
- Assist with permitting, land rights, and real property matters associated with generation projects
Regulatory & Compliance
- Monitor and advise on relevant FERC, state utility commission, and RTO/ISO rules and regulations impacting Guzman's commercial and development activities
- Support compliance with market rules, tariff obligations, and reporting requirements
General Legal Support
- Collaborate with external counsel on complex matters and manage outside counsel relationships effectively
- Provide practical, business-oriented legal advice to internal stakeholders across commercial, development, and finance teams
- Assist in developing and maintaining contract templates, playbooks, and legal policies
Required Qualifications
- J.D. from an accredited law school and active bar admission in good standing (any U.S. jurisdiction)
- 5–8 years of transactional experience, with meaningful exposure to energy contracts, project development, or infrastructure
- Demonstrated experience drafting and negotiating PPAs, EPC contracts, O&M agreements, and/or interconnection agreements
- Strong analytical and drafting skills with the ability to identify and communicate risk clearly and concisely
- Ability to manage multiple priorities and work independently in a lean, fast-moving environment
Preferred Qualifications
- Experience advising on power supply agreements with data centers or other large commercial and industrial (C&I) customers
- Familiarity with FERC-jurisdictional markets, NERC standards, and wholesale market rules
- Background in renewable energy project development (solar, wind, storage)
- Familiarity with WSPP and EEI form Master Agreements
A Note on This Role
This is a term-limited position with a scheduled end date of December 31, 2026, with the potential for conversion to a permanent role at the Company's discretion. The role is fully in-person at our Denver office.
