Job Description:

Enfinity is looking for a GM / AVP - Legal & Contracts who will be able to handle all of the activities herein below with experience in:

Supply Chain Management:

  • Knowledge in handling gamut of activities ranging from negotiating & managing contracts, handling contractual issues, replying and preparing claim notices such extension of time, liquidated damages, termination, change & variations, claims and contract closure
  • Handling end to end contracting and procurement and associated negotiation activities
  • Co-ordinating with internal and external stakeholders for preparation of technical specifications /requirements, contract documents
  • Drafting, reviewing and managing all Contracts and other high value contracts not limited to EPC Contracts (incl. Pre-Award & Post-Contract issues & matters associated therewith). Having knowledge over the Module Supply Agreements (incl. high sea agreements), execution of Turnkey Project Agreements for developing the renewable or water projects are preferable
  • Ensure to run the variations or amendments to the contracts / agreements on the basis of commercial, technical and legal negotiations, taken place from time to time and ensure the contractual compliances thereon.
  • Ensure smooth closure (issuance of Completion Certificates or Work Completion Certificates), in consultation with Head of EPC/Development, with contractors & sub-contractors.
  • Identify contractual risk and risk mitigations to appraise the Management from time to time
  • Support Commercial and Projects team in contracts administration, correspondence, change management, variation claims including settlements thereon from time to time
  • Handle warranty and guarantee related claims and/or contractual matters/disputes/differences
  • Drafting, reviewing, negotiating and finalisation of Purchase Orders / Service Orders / Power Purchase Agreements (C&I), EPC contracts, BOS contracts and all other commercial contracts

Legal:

  • Handle litigations and court cases relating to commercial contracts
  • Preparation of petitions (including writ petitions), making necessary submissions or replies in litigation cases relating to or arising from any commercial contracts
  • Conducting arbitral proceedings on all disputes arising out commercial contracts
  • Reply and/or refute on legal notices, arising out of commercial contracts
  • Handle civil and criminal cases, where issues arising out of commercial contracts
  • Handle regulatory compliances, making policies of the Company relating to commercial contracts
  • Advise Management on legal and contractual issues from time to time
  • Advise on rules and regulations & appraise the management from time to time if any of such revision in rules or regulations have impact on the Company or Company financials.
  • Drafting, reviewing/vetting and execution of:
  • NDAs, Business Understanding or Memorandum of understandings,
  • Joint Development Agreements, Consortium Agreements, technology partner agreements, sponsorship agreements, CSR agreements and all other management contracts/agreements as may be required by the Company from time to time
  • EPC Contracts, Project Agreements (Power Purchase Agreements, Offtaker Agreements, O&M Agreements, Wrap Agreements, right of way, right of use, easement agreements, common infra sharing agreements etc.,), Module Supply Agreements, Development Agreements






  • Requirements

    8-10 years of post-qualification experience on the cited aspects with a Graduation in Law and strong commercial understanding. Renewable Energy sector background is a must. Should have experience in handling all the issues stated under the Job Description and able to step up to the needs of the organisation. Should be presentable with excellent drafting and communication skills.
