Associate General Counsel
An established and rapidly growing clean energy manufacturer is seeking an Associate General Counsel to join its executive team. This is a unique opportunity for an experienced commercial attorney to play a key role in a high‑growth organization that is helping shape the future of renewable energy in the United States.
Key Responsibilities
- Draft, review, negotiate, and manage a wide variety of commercial agreements, including customer purchase agreements, supplier agreements, vendor contracts, equipment agreements, construction contracts, leases, and intercompany agreements.
- Partner with executives and business leaders to provide practical legal advice regarding contract terms, risk management, payment structures, insurance, bonding, and regulatory compliance.
- Prepare formal contractual notices, default letters, and other legal correspondence.
- Support project teams with contract interpretation, compliance, and dispute resolution.
- Assist in managing litigation, claims, and outside counsel relationships.
- Ensure contracts comply with applicable federal, state, and local laws and regulations.
- Review confidentiality agreements, vendor contracts, and corporate policies.
- Maintain corporate records, organizational documents, and minute books.
- Assist with corporate governance and other legal matters as needed.
Qualifications
- Juris Doctor (JD) from an accredited U.S. law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 4‑7 years of transactional legal experience with a strong emphasis on commercial contracts.
- Experience supporting manufacturing, renewable energy, solar, clean energy, industrial, engineering, EPC, infrastructure, or other complex commercial businesses.
- Experience negotiating supply agreements, sales agreements, UCC/commercial transactions, or other sophisticated commercial contracts.
- Strong understanding of contract law, risk allocation, and business negotiations.
- Excellent communication, organization, and relationship‑building skills.
- Ability to work independently while collaborating effectively across multiple business functions.
- Solar, renewable energy, clean energy, energy manufacturing, battery storage, utilities, or related industry experience is highly preferred.
- Experience supporting manufacturing or supply chain operations is a strong plus.
