POSITION:

APR Renewables is recruiting a Real Estate Paralegal to manage and assist with real estate activities and the sale of DG and utility-scale renewable energy generation projects in select markets throughout the US. In this role, you will manage a wide range of real estate matters for renewable energy projects and coordinate with Land Acquisition team members with support from developers and project managers.

For over 20 years, American Power Resources executive team has successfully implemented the mission of building clean energy projects that provide the energy needed to advance each customer’s vision.

RESPONSIBILITIES:

· Prepare initial drafts of site control documents, including leases, easements, purchase options, access agreements, licenses, and

crossing agreements.

· Coordinate and track further commercial and legal reviews of documents as directed by project leaders.

· Conduct detailed reviews of deeds, title commitments, surveys, and underlying encumbrance documents. Identify potential "red flags"

like restrictive covenants or mineral rights conflicts that could restrict energy projects.

· Assist with identifying and validating entity structures (Trusts, LLCs, Estates, etc) and verifying proper authority of signatories.

· Manage filing and sharing of documents for complex real estate acquisitions and project development. This includes preparing closing

binders, tracking signature pages and executed documents, and coordinating execution with agents and external parties.

· Manage the recording of memorandums, easements, and other agreements with County Recorders across the multi-state portfolio.

· Assist with marketing and media efforts to support outreach to landowners for land acquisition

· Assist with permit applications and filings for local, state, and federal agencies

· Work closely with GIS teams and surveyors to ensure legal descriptions match project site plans.

· Negotiate, review, and manage the closing process for Membership Interest Purchase Agreements (MIPAs) and Purchase and Sale

Agreements (PSAs).

Corporate Governance & Entity Management

· Form and maintain corporate entities (LLCs, corporations, partnerships) across multiple jurisdictions.

· Manage annual filings, registered agents, and state compliance requirements.

· Prepare and maintain corporate records, including operating agreements, bylaws, resolutions, consents, certificates, and minute books.

· Coordinate board and member actions, including meeting notices, agendas, and written consents.

· Maintain organizational charts and entity ownership structures for project subsidiaries.

 

Contract Administration & Document Management

· Manage contract lifecycle and document organization using internal systems (SharePoint, contract management tools, etc.).

· Maintain standardized templates, signature workflows, and executed contract archives.

· Support the legal team in contract tracking, renewals, and compliance deadlines.

· Ensure confidentiality and version control across sensitive corporate documentation.

General Legal Department Support

· Coordinate with outside counsel on entity filings, litigation holds, and document production requests.

· Support legal invoice tracking and administrative reporting.

· Provide legal administrative support for special projects as assigned.

Compliance & Regulatory Support

· Support compliance with corporate policies, internal controls, and governance processes.

· Assist with UCC filings, lien searches, and related documentation as needed.

· Support preparation of responses to audits, lenders, investors, and internal requests.

· Assist with maintaining insurance certificates and vendor compliance documents as required.

· All other duties assigned by management.

REQUIREMENTS AND SKILLS:

· 3+ years of experience as a paralegal or real estate manager, specifically within commercial real estate, industrial land use, or the energy

sector. Experience specifically within the renewable energy or commercial real estate sectors is required.

· High proficiency in reading ALTA surveys and complex title reports. You should know your way around an exception map.

· Experience organizing information for hundreds of parcels across multiple project sites simultaneously.

· Firm grasp of General Corporate Law and entity management.

· Fluency in transactional contracts and the mechanics of complex closings.

· Experience supporting corporate governance and maintaining multi-entity structures.

· Strong knowledge of entity formation, corporate filings, and legal documentation.

· Experience in renewable energy, construction, infrastructure, real estate, or utility-scale development industries.

· Familiarity with project finance structures (tax equity, debt financing, joint ventures).

· Experience supporting land agreements (leases, easements, title matters).

· Experience with contract lifecycle management tools (Ironclad, DocuSign CLM, Conga, etc.).

· Knowledge of UCC filings and lien search processes.

· Experience working with outside counsel and multi-state legal compliance.

· High proficiency with Microsoft Office (Excel, Word, Outlook) and document management tools.

· Proficiency in document management systems (SharePoint) and office document software (MS Office, Adobe suite, Google tools) 

· An ABA-approved Paralegal Certificate or a bachelor’s degree in a related field.

· Knowledge of GIS is a strong plus.

· Current commission or willingness to obtain Notary Public license.

· This position requires deep attention to detail and exceptional organizational skills.

· Experience and knowledge with real estate requirements of renewable energy projects (wind, solar, battery storage) and energy

infrastructure is a strong plus

· A valid driver’s license is required.

· This position is based in person at APR Renewables headquarters office in Palm Beach Gardens, FL
